These Terms of Use govern your use of covalentstudios.co (the "Site"), operated by Covalent Creative Productions and Studios, LLC, an Illinois limited liability company ("Covalent," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Ownership of Work Shown on This Site

The commercials, films, photographs, and other creative work displayed on the Site (the "Work") are owned by the brands, agencies, directors, and other rights holders who commissioned or created them. Covalent displays the Work solely to illustrate its production experience and the work of the directors it collaborates with. Display of the Work on the Site does not transfer any ownership or license to you.

All brand names, logos, and trademarks appearing on the Site belong to their respective owners. Their appearance does not imply endorsement of Covalent by, or affiliation with, those owners beyond the production services provided.

The Site's design, text, graphics, and other original content created by Covalent are owned by Covalent and protected by copyright and other intellectual property laws.

You may view the Work through the Site's embedded players for personal or professional reference. You may not download, copy, reproduce, distribute, modify, publicly display, or otherwise use any Work or Site content without prior written permission from Covalent and the applicable rights holder.

If you are a rights holder and would like a piece of Work removed or credited differently, please contact us at hello@covalentstudios.co and we will respond promptly.

2. No Offer or Binding Agreement

The Site is provided for informational purposes only. Nothing on the Site, including descriptions of services, capabilities, rates, availability, or past projects, constitutes an offer, quote, bid, or commitment to provide services. Any engagement of Covalent is governed solely by a separate written agreement, bid, or estimate signed by Covalent. Information on the Site may change at any time without notice.

3. Directors and Talent

Directors and other talent featured on the Site work with Covalent under individual arrangements, which may be exclusive or non-exclusive and may vary by director, territory, and type of work. Inclusion on the Site does not guarantee any director's availability for, or participation in, a particular project, and our roster may change without notice. Credits and project information are provided in good faith based on the information available to us. If you believe a credit is inaccurate, please contact us.

4. Unsolicited Submissions

Covalent does not accept unsolicited scripts, treatments, concepts, or other creative ideas through the Site or by email. If you send us unsolicited material, you agree that it is not confidential, that Covalent has no obligation to review, return, or compensate you for it, and that Covalent may already be developing, or may later develop, similar ideas independently without any obligation to you. This section does not apply to materials provided under a separate written agreement or process, such as a signed NDA or an agency bid.

5. Site Provided "As Is"

The Site and all of its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

6. Limitation of Liability

To the fullest extent permitted by law, Covalent and its members, employees, and representatives will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business opportunity, arising out of or related to your use of or inability to use the Site, even if advised of the possibility of such damages.

7. Third-Party Content and Links

The Site may include embedded media and links to third-party websites and services, such as Vimeo and social media platforms. Covalent does not control and is not responsible for the content, policies, or practices of those third parties. Your use of third-party services is governed by their own terms and policies.

8. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois.

9. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
